These Terms of Service ("Terms") govern your access to and use of the biziShip.ai platform and website (the "Service") operated by biziShip.ai, Inc. ("biziShip.ai", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
biziShip.ai provides an AI-powered freight management platform that enables businesses to obtain LTL freight quotes, compare carriers, book shipments, and manage logistics operations. The Service acts as a technology intermediary; biziShip.ai is not a freight carrier, freight broker, or transportation provider.
Actual freight services are provided by third-party licensed carriers. biziShip.ai does not assume liability for the performance of those carriers.

When you book a shipment through biziShip.ai, you enter into a contract directly with the selected freight carrier. You agree to comply with that carrier's terms and conditions, tariffs, and rules of carriage.
Quoted rates are based on the shipment details you provide. If actual shipment characteristics differ (weight, dimensions, freight class, accessorials), the carrier may invoice additional charges. biziShip.ai will pass such adjustments through to you and is not responsible for rate discrepancies arising from inaccurate data.
Use of certain features of the Service may be subject to subscription fees or per-shipment charges as described in your account plan. You agree to pay all applicable fees in accordance with the billing terms presented at sign-up or as updated with notice.
All fees are in US dollars. We reserve the right to change pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance.
The Service, including all software, content, trademarks, logos, and AI models, is owned by biziShip.ai, Inc. and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.
You retain ownership of your data (shipment records, business information) that you upload to the Service. You grant biziShip.ai a limited license to use that data solely to provide and improve the Service.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or uninterrupted availability. We do not warrant that carrier rates quoted through the Service will be honored without adjustment, or that any particular carrier will accept a shipment.
To the maximum extent permitted by applicable law, biziShip.ai, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising out of or related to your use of the Service, even if advised of the possibility of such damages.
Our total liability for any claim arising from these Terms or the Service shall not exceed the greater of (a) the fees you paid to biziShip.ai in the three months preceding the claim or (b) one hundred US dollars ($100).
You agree to indemnify and hold biziShip.ai, Inc. and its officers, directors, employees, and agents harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your shipments, your violation of these Terms, or your violation of any third-party rights.
You may terminate your account at any time by contacting support@biziship.ai. We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice.
Upon termination, your right to use the Service ceases. Sections covering intellectual property, disclaimers, limitation of liability, and indemnification survive termination.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by email. Continued use of the Service after changes take effect constitutes your agreement to the revised Terms.
